Terms of Service

By sending requests to the SoundHalo API ("the Service"), you agree to these Terms of Service. The Service is operated by SoundHalo ("we", "us", "our").

Some tools work without an account, while the signed-in app requires authentication. If you do not agree to these terms, do not use the Service.

SoundHalo provides audio processing infrastructure via HTTP endpoints. Services include audio inspection, transformation, transcription, voice activity detection, speaker diarization, and composable processing pipelines.

The Service is designed for programmatic use by software applications and AI agents. We reserve the right to modify, suspend, or discontinue any part of the Service at any time.

Programmatic pay-per-request endpoints use the x402 payment protocol with USDC stablecoin. This is separate from signed-in app subscriptions.

When available, the signed-in app offers Pro subscriptions billed directly through Stripe at $15/month or $120/year, plus applicable tax. Checkout displays the amount before you subscribe. Subscriptions renew until canceled. You can manage payment details and cancel renewal in the billing portal. Cancellation at period end retains paid access until that period ends. Processing allowances, file limits and service availability still apply.

Deleting your sign-in account closes account access and schedules immediate cancellation of its SoundHalo subscriptions, rather than keeping access until period end. Provider outages can delay cancellation. Account deletion does not automatically refund earlier payments. To cancel renewal while keeping access for the remainder of your paid period, use the billing portal instead.

The following pricing and processing-payment rules apply to pay-per-request API operations, not subscription renewal charges:

• Pricing is quoted before each transaction. You will always see the cost before paying.
• Payment is only captured after successful processing. Failed requests are not charged.
• Prices are subject to change. Current rates are always available at the GET /pricing endpoint.
• Refunds are not available for successfully processed pay-per-request operations, except where required by law. For subscription billing questions, contact us.

You agree not to use the Service to:

• Process audio that you do not have the right to use or distribute
• Attempt to circumvent rate limits, payment requirements, or security measures
• Reverse-engineer, decompile, or extract the underlying models or algorithms
• Submit audio containing illegal content as defined by applicable law
• Overload the Service with requests intended to degrade performance for other users

We reserve the right to block IP addresses or wallet addresses that violate these terms.

You retain all rights to audio files you upload and the outputs generated from them. We claim no ownership over your content.

By uploading audio, you grant us a limited, temporary license to process it for the sole purpose of fulfilling your API request. This license terminates when the response is returned.

We do not use your audio to train machine learning models or for any purpose other than fulfilling the specific request.

We target 99.98% uptime but do not guarantee uninterrupted availability. The Service may be temporarily unavailable for maintenance, updates, or due to circumstances beyond our control.

Service status is available at the GET /health endpoint.

The Service is provided "as is" without warranties of any kind, express or implied. We do not warrant that results will be accurate, complete, or error-free.

To the maximum extent permitted by law, SoundHalo shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. Our total liability for any claim shall not exceed the amount you paid for the specific request that gave rise to the claim.

The Service enforces rate limits to ensure fair usage. Anonymous users on the same IPv4 address or IPv6 /64 share limits, which may vary by endpoint. Rate limit details are included in response headers.

We may update these Terms at any time. Changes will be posted on this page with an updated revision date. Continued use of the Service after changes constitutes acceptance of the updated terms.

These Terms shall be governed by and construed in accordance with applicable law, without regard to conflict of law principles.
